Client Agreement

This agreement sets out the rights and obligations of clients who define a project, accept a freelancer proposal, and fund milestones on Onrari. It supplements the Platform Terms.
1. Parties and contractual structure
This agreement is concluded between the client holding the account and ORIGIN SYSTEMS, a Sole Proprietorship, registered with the RCCM under number RB/COT/25 A 114555, tax ID (IFU) 0202012022130, with registered office at Quartier Vedoko, Carré 1464, Maison Codo Gervais, Cotonou, Benin, represented by Mr Lionel Okpeicha.
ORIGIN SYSTEMS operates Onrari and provides the platform services. The project contract covering work and deliverables is concluded separately between the client and the freelancer upon acceptance of the proposal.
2. Purpose
As a client, you buy the deliverables and work described in freelancer proposals that you accept. Onrari supplies matching, AI-assisted scoping, collaboration, contract formalization, payment collection, and payout. Onrari does not perform the work and does not guarantee outcomes.
3. Account and authority
You represent that you have the capacity and authority to bind the entity you act for, and to fund the milestones you approve.
4. AI-assisted scoping
AI agents help you formulate your project and specifications. Their output is a suggestion: you remain responsible for the final specification you validate and share with freelancers.
5. Selection and invitations
The platform recommends and invites freelancers suited to your project. Onrari does not promise a minimum number of candidates or a bidding board: selection remains qualitative and you freely choose which proposal to accept.
6. Proposal acceptance and contract formation
The project contract is formed when you accept a fixed-price proposal; it takes effect on the freelancer's electronic signature. It comprises the accepted specification, the proposal, milestones, deliverables, prices and schedule, together with the platform contractual documents. Any later change must be accepted by both parties.
7. Cooperation and supplied materials
You provide in a timely manner the information, access, and materials needed for the project. You warrant that you hold the rights to materials given to the freelancer and answer reasonable requests within a timeframe consistent with the agreed schedule.
8. Milestone funding
Each milestone is funded through checkout operated by the payment provider for your currency (Dodo Payments for EUR, FedaPay for XOF). That provider settles the funds to ORIGIN SYSTEMS, which records and reserves them in the internal ledger for that milestone. Payment to ORIGIN SYSTEMS satisfies your payment obligation for the milestone, subject to actual settlement, fraud checks, and any reversals. Any third-party fees and exchange rates are shown to you before payment where they apply.
9. Review, change requests, and disputes
On delivery, you may approve the deliverable, request reasoned changes within the scope of the accepted proposal, or open a dispute under the payment policy. You explain your requests and cooperate in good faith toward resolution.
10. Approval and payment release
Approving a milestone credits the freelancer's available internal balance with the milestone price minus Onrari's 5% freelancer commission. The freelancer may then request a withdrawal, which ORIGIN SYSTEMS executes through available payout providers after identity, compliance, and fraud checks.
11. Cancellation, refunds, and chargebacks
- Before a milestone is funded, you may cancel without project payment.
- After funding but before work is accepted, Onrari determines the refund based on completed and usable work and documented costs, after hearing both sides.
- An approved milestone is generally non-refundable, except for fraud, duplicate payment, mandatory law, or a payment processor decision.
- Payment provider fees already incurred may be non-refundable where the law and provider rules allow.
- A chargeback does not replace the platform dispute process. This document waives no statutory consumer withdrawal right; mandatory applicable law prevails.
12. Intellectual property
Each party keeps its pre-existing materials. Upon full payment of the relevant milestone, rights in project-specific deliverables are assigned or licensed to you as the project terms and applicable law allow, to the extent permitted for moral rights. No transfer occurs for unpaid or rejected work.
13. Confidentiality and data
You protect the confidential information of the freelancer and the platform. Personal data processing is described in the Privacy Policy.
14. Prohibited projects and non-circumvention
You do not propose illegal projects or projects contrary to platform rules. For a project initiated on Onrari, you do not contract with or pay the freelancer off-platform.
15. Freelancer independence and platform role
The freelancer is an independent contractor: they control their methods and schedule subject to agreed milestones, supply their own tools, and handle their tax and social obligations. No employment, agency, or partnership relationship is created between you, the freelancer, and Onrari. Neither you nor the freelancer can bind Onrari.
16. Warranties and liability
Onrari does not guarantee deliverable quality, freelancer availability, or project outcome. To the extent permitted by law, ORIGIN SYSTEMS' liability is limited to direct damages and to commissions collected on the relevant project.
17. Term, termination, and survival
This agreement applies while you use the platform and, for each project, until full performance or dispute resolution. Confidentiality, intellectual property, payment, and liability clauses survive termination.
