Platform Terms

These terms govern access to and use of the Onrari platform, which connects clients and freelancers with the help of AI agents. By creating an account or using the platform, you accept these terms.
1. Operator and scope
The Onrari platform is operated by ORIGIN SYSTEMS, a Sole Proprietorship, registered with the RCCM under number RB/COT/25 A 114555, tax ID (IFU) 0202012022130, with registered office at Quartier Vedoko, Carré 1464, Maison Codo Gervais, Cotonou, Benin, represented by Mr Lionel Okpeicha. Onrari is the platform's commercial brand.
These terms apply to any use of the platform, including account creation, AI-assisted project definition, matching, project contracting, and related payments.
2. Definitions
- "Client": a person or entity that defines a project and buys deliverables from a freelancer.
- "Freelancer": an independent contractor who submits proposals and produces deliverables.
- "Project": the body of work defined by the client, described in the accepted specification and proposal.
- "Milestone": a project stage with deliverables, a price, and a schedule.
- "Internal balance": accounting information kept by Onrari representing the freelancer's contractual receivable against ORIGIN SYSTEMS.
- "AI agents": software assistants that help define projects, recommend freelancers, and manage follow-up.
3. Eligibility and accounts
You must be at least 18 years old and have legal capacity to contract. You provide accurate information and keep it up to date. You are responsible for the confidentiality of your credentials and for actions taken through your account.
4. Platform role and AI agents
Onrari supplies matching, AI-assisted scoping, collaboration tools, contract formalization, payment collection, internal ledger keeping, and payout infrastructure.
Onrari does not perform freelancer work and does not guarantee outcomes. The platform AI agents (Nora, Malik, Lea, Adam, and Sarah) respectively assist project definition, freelancer identification, invitation sending, exchange support, and operational management. They suggest; users decide.
5. Project contract formation and order of documents
A project contract is concluded between the client and the freelancer when the client accepts the freelancer's fixed-price proposal; it takes effect on the freelancer's electronic signature. The project terms comprise the accepted specification, the proposal, milestones, deliverables, prices and schedule, together with these terms, the client agreement, the freelancer agreement and the payment, refund and dispute policy.
In case of conflict, the order of precedence is: the signed project contract and amendments, the applicable role agreement, the payment policy, then these general terms. The French version prevails where applicable mandatory law allows.
6. AI limitations and human decisions
AI agents produce suggestions, drafts, and recommendations that may contain errors or inaccuracies. Hiring, proposal acceptance, deliverable approval, and funding decisions belong exclusively to users. You must review generated content before relying on it.
7. User obligations and prohibited use
You agree not to:
- use the platform for illegal or fraudulent activities or activities infringing third-party rights;
- provide false information or impersonate another person;
- circumvent the platform to contract or pay off-platform for a project initiated on Onrari;
- disrupt the platform's technical operation or scrape data at scale;
- violate sanctions, anti-money-laundering, or data-protection laws.
8. Payments and internal ledger
The client funds each milestone through checkout operated by the payment provider for their currency (Dodo Payments for EUR, FedaPay for XOF). That provider settles client funds to ORIGIN SYSTEMS, which records and reserves the amount in its internal ledger for the relevant project.
Payment to ORIGIN SYSTEMS through checkout satisfies the client's payment obligation for the funded milestone, subject to actual settlement, fraud checks, and any reversals. Project funds may be pooled in ORIGIN SYSTEMS accounts while being tracked separately in the ledger.
The freelancer's internal balance is accounting information and a contractual receivable against ORIGIN SYSTEMS. It is not a bank account or payment account and earns no interest. Onrari does not act as an escrow agent or a financial institution.
9. Fees and taxes
Onrari charges shared fees: a 5% service fee added to the client's payment and a 5% commission deducted from freelancer earnings, with a minimum total fee of €10 (or the billed-currency equivalent) split evenly between both sides. The minimum amount for a new mission or milestone is €100 (or the billed-currency equivalent). Promotional offers — such as a client-fee waiver on the first mission of a first project — may apply temporarily under the displayed conditions and are not a permanent entitlement. Any third-party provider fees and exchange rates are shown before payment or payout where they apply.
Each user remains responsible for the taxes and social obligations applicable to their situation.
10. Intellectual property
Onrari retains all rights in the platform, the AI agents, and its own content. Each user keeps their pre-existing materials.
The freelancer declares background materials and third-party licenses included in deliverables before acceptance. Upon full payment of the relevant milestone, rights in project-specific deliverables are assigned or licensed to the client as the project terms and applicable law allow. Moral rights are handled only to the extent permitted by law. No transfer occurs for unpaid or rejected work.
Each user grants Onrari a limited license to host, process, and display their content as needed to operate the platform.
11. Confidentiality and personal data
The parties protect confidential information exchanged within a project and use it only to perform that project. Personal data processing is described in the Privacy Policy.
12. Disputes between users
Clients and freelancers first try to resolve disagreements directly and cooperate in good faith. Failing that, they may use the platform dispute process described in the payment policy. Onrari reviews the evidence provided and decides on aspects relating to funds held in the internal ledger. A claim filed with a payment provider does not replace this process.
13. Suspension and termination
You may close your account at any time. Onrari may suspend or terminate an account for breach, fraud, security risk, or legal obligation, with reasonable notice where circumstances allow. Termination does not affect projects and receivables already formed, which remain governed by these terms.
14. Warranties and liability
The platform is provided as is. Onrari does not guarantee uninterrupted availability, the accuracy of AI agent recommendations, or the outcome of projects between users.
To the extent permitted by law, ORIGIN SYSTEMS' liability is limited to direct damages and to the amount of commissions collected on the relevant project. No clause limits liability that mandatory law prohibits limiting.
15. General provisions
No party is liable for a delay caused by an event beyond its reasonable control, provided it informs the other parties and limits the effects.
If a clause is held invalid, the remaining clauses stay in force. Failure to exercise a right does not waive it. These terms and the documents incorporated into them constitute the entire agreement relating to their subject matter.
You may not assign your rights or obligations without the written consent of ORIGIN SYSTEMS. ORIGIN SYSTEMS may assign its own in connection with a reorganization or a transfer of the platform, subject to your mandatory rights.
16. Governing law
Governing law and competent jurisdiction: Beninese law and, after a good-faith attempt at amicable resolution, the competent courts of Cotonou. Mandatory consumer rights remain applicable.
17. Changes, notices, and contact
Onrari may update these terms with reasonable notice, given on the platform or by email. Continued use after the effective date constitutes acceptance, subject to mandatory rights.
